non-disclosure agreement

An agreement in which both parties undertake not to pass on any information resulting from the contractual agreement to third parties. It is often necessary between the client and the service provider before disclosure of tender information. Contents concern documentation, site inspection and provision of services and may include monetary penalties and other legal consequences.
